Japanese conglomerate SoftBank has been looking for someone to its semiconductor designer Arm and although it finally settled on NVIDIA, that deal may still fall through at least in one country. The UK government is reportedly preparing to intervene and block the acquisition if necessary on the grounds that NVIDIA buying up Arm could not only endanger its citizens’ jobs but also threaten the country’s sovereignty over one of its very few technology champions.

The UK is particularly concerned about the effects the acquisition would have on the country’s economy and sovereignty. As a UK-based company, Arm is naturally one of the country’s prized possessions and it won’t simply allow it to be handed over without much scrutiny.

Its assessment was published today by the government, which will now need to decide whether to ask the Competition and Markets Authority (CMA) to carry out an in-depth probe into the proposed acquisition.

In the executive summary of the CMA’s report for the government the watchdog sets out concerns that if the deal were to go ahead the merged business would have the ability and incentive to harm the competitiveness of Nvidia’s rivals by restricting access to ARM’s IP which is used by companies that produce semiconductor chips and related products, in competition with Nvidia.
Commenting in a statement, CEO Andrea Coscelli said:

“We’re concerned that Nvidia controlling Arm could create real problems for NVIDIA’s rivals by limiting their access to key technologies, and ultimately stifling innovation across a number of important and growing markets. This could end up with consumers missing out on new products, or prices going up.

In September last year, NVIDIA signed a definitive agreement to acquire Arm, the U.K.-based semiconductor and software design company. Given how important of a role Arm plays in the mobile and tech ecosystem as a whole, many raised concerns that the acquisition would give NVIDIA too much power and control, and they argued that it could hurt competition as a result.

NVIDIA notified the European Commission that it aimed to take over Arm, which prompted the preliminary review by the European Commission.
Reuters now reports that the European Commission is scheduled to end its preliminary review on October 27th of the deal, and a four-month investigation into the deal would follow. A spokesperson for the Commission declined to comment.

“The regulatory process is confidential. The transaction will help to transform Arm and boost competition and innovation, including in the UK,” a spokesperson for NVIDIA told Reuters.

NVIDIA's ARM acquisition cannot seem to catch a break, based on the long series of setbacks and delays that have beleaguered it since it came into being in late 2020.

As reported by Reuters, the European Commission has now declared it's doing a full investigation to determine whether NVIDIA acquiring ARM would unfairly harm the operations of other industries and rival companies such as Qualcomm, Apple, and Samsung. For its part, NVIDIA says no such thing would happen and that ARM would remain agnostic even under the green team's ownership, not creating unfair biases in the marketplace. But, as evidenced by the probe, regulators are not taking NVIDIA at its word.

The UK government apparently isn't satisfied with its initial probe of NVIDIA's ARM purchase. As Reuters reports, The Sunday Times has heard Digital and Culture Secretary Nadine Dorries will order the country's Competition & Markets Authority to conduct a "phase two" investigation of NVIDIA's deal over national security issues. The announcement could come as soon as next week, The Times said.

A second investigation would reportedly last about six months. After that, officials could either block the deal, approve it as-is or require concessions.
Any second investigation wouldn't necessarily spell doom for NVIDIA's acquisition. It would suggest the government has some qualms, however, and that NVIDIA might have to make some sacrifices.

The Federal Trade Commission on Thursday sued graphics card giant Nvidia (NVDA) to block its proposed acquisition of Arm.

"The FTC is suing to block the largest semiconductor chip merger in history to prevent a chip conglomerate from stifling the innovation pipeline for next-generation technologies,” FTC Bureau of Competition Director Holly Vedova said in a release.
"This proposed deal would distort Arm’s incentives in chip markets and allow the combined firm to unfairly undermine Nvidia’s rivals," Vedova added.
An Nvidia spokesperson responded to the suit saying: "As we move into this next step in the FTC process, we will continue to work to demonstrate that this transaction will benefit the industry and promote competition."

Agreed, and it seems corps like Qualcomm were already itching to do just that. This would have been a case, that had it gone thru, the whole would have been way greater than the sum of its parts, in more ways than one. There are already enough monopolies out there (Microsoft, Google, etc). Plus, this persistent chip shortage and NVIDIA getting enriched like some outsized mega-tick. No, just no.

Yes, it was just a bad idea, ARM is too important to the semiconductor industry and I don't see how innovation in general would thrive if it was owned by Nvidia.

It is a good thing that the deal fell apart. Arm should stay independent. They design the core of almost all mobile device in the world. Too important and too unfair to competitors for the deal to go through. I think going for IPO in the New York stock exchange is the way to go.
