Infineon Technologies AG ’s $8.7 billion acquisition of Cypress Semiconductor Corp. was approved by the Committee on Foreign Investment in the United States, a small step forward for deals in an industry where regulatory and security concerns have stalled consolidation.

“CFIUS has completed its review of Cypress’s previously announced merger transaction with Infineon Technologies AG and determined that there are no unresolved national security concerns,” Cypress said in a statement.
Infineon also confirmed the approval.

The combination still needs sign-off from China’s State Administration for Market Regulation, the companies said.

Cypress Announces Completion of CFIUS Review

Cypress Semiconductor Corp. (NASDAQ: CY) announced that Cypress has been informed today by the Committee on Foreign Investment in the United States (CFIUS) that CFIUS has completed its review of Cypress’s previously announced merger transaction with Infineon Technologies AG and determined that there are no unresolved national security concerns with respect to the proposed merger.

The merger remains subject to receipt of regulatory approval from China's State Administration for Market Regulation and other customary closing conditions under the merger agreement.

Infineon says Cypress takeover cleared, funding in place

Infineon Technologies (IFXGn.DE) said on Tuesday that it had received final regulator clearance for its takeover of U.S. Cypress Semiconductor (CY.O) and that funding was in place to complete the deal.

The German chipmaker announced the $10 billion takeover last June but the deal took longer than expected to reach the finish line as it underwent a U.S. review of its national security implications.
The transaction, which will create a leader in automotive powertrain and in-car systems, is being funded with cash and committed acquisition financing from banks, Infineon said in a statement.
