    It is no longer a Corporation. Basically a legal move.

    They are still a corporation. In US, you have to be a corporation to protect yourself from a lawsuit. If you are not and you get sued, you lose everything, your house, your car, your underwear etc.

    I think they plan to expand their software products to other non hard drive categories, so they do not want to be called simply Diskeeper, which is just one of their products now.

    There are two types of corporations in USA. The regular corporation which is a listed corporation and owned by millions. And, a subchapter S corporation which is 20 or so owners.

    After, the Aurthur Anderson fiasco, USA has now LLC, LLP and LLLP. The LL stands for Limited Liability and covers your underwear, etc.

    Diskeeper Corporation is previously called Executive Software International in the US and in the UK and they changed their name to Diskeeper Corporation to focus on their flagship product Diskeeper. I checked my archived e-mail to find that I first purchased their Diskeeper 3.0 in 1997. In 2005, they lauched Diskeeper 9 and Undelete 5 and they changed their name to Diskeeper Corporation.

    Yes, I am currently in US. Here is US it is almost a favorite pastime of the people to sue each other. So protection from lawsuit is very important.

    I do not have a lot of details on the different types for businesses but it is a generally agreed that incorporation offers best protection form lawsuits.

    Subchapter S limits shareholders to US residents only.

    LLC is good option but you can not raise capital by selling stock. Same for LLP and others.

    This is the reason most big businesses are incorporated.

    Now that you mentioned it, I remember a company named Executive software, but I had forgotten it was he name of the company that sold Diskeeper.

    Well, they can call themselves whatever they want as long as they do not change the name of their product Diskeeper.

    you actually dont need 20+ members for a s corp we own a s corp and dont have nearly 20 owners..

    Right, I know of a single person that is a corp. If you have enough money you can do anything. :ninja:

    To get yourself incorporated as a Subchapter S you need to have less then 35 shareholders and none of the shareholder can be nonresidents aliens.

    They probably want to get away from the "Diskeeper" name as defrag is pretty useless at this point, especially where SSDs are concerned. If they are smart they will have other products to fall back on.

    Good move i guess, as long as they don't go the copycat registry cleaner path like Raxco! :(
