Britain's competition watchdog has ordered Amazon to pause its investment in fast-growing food delivery startup Deliveroo ahead of an investigation into potential breaches of competition laws.

The Competition and Markets Authority on Friday said its has “reasonable grounds” to believe that Amazon and Deliveroo have either ceased to be separate businesses, or will merge in the near future, according to the enforcement order posted online on Friday.
The order means that Amazon and Deliveroo can continue negotiating the terms of the investment, but can no longer merge any of their businesses in the UK until the the CMA gives its approval.

Amazon's massive investment into British food delivery firm Deliveroo has hit another snag, with the UK's competition regulator deciding to launch a formal investigation into the deal.

The watchdog will carry out what it calls a "phase 1" investigation, meaning it will look more fully into concerns that a merger or investment would reduce competition for consumers. Amazon and Deliveroo could fend off further investigation by making changes to their business, or promising not to merge their operations.
If the CMA decides that the deal is anti-competitive, it will launch a "phase 2" probe that would likely halt the deal or force Amazon or Deliveroo to divest parts of their business.

UK competition authorities have provisionally cleared Amazon’s investment in Deliveroo after the takeaway delivery firm warned it could collapse because of the coronavirus crisis.

The takeaway firm told the Competition and Markets Authority it had suffered a “significant decline in revenues” since the government lockdown to limit the spread of the virus closed many of the restaurants it dealt with. Efforts to step up grocery deliveries had not offset the loss of trade from restaurants, it said.
Deliveroo and its financial advisers told the CMA the business would fail financially and exit the market unless Amazon went ahead with its investment.

Britain’s competition regulator has given itself two more months to make a final ruling on Amazon’s (AMZN.O) purchase of a minority stake in online delivery group Deliveroo so it can take full account of representations from all interested parties.

Britain’s Competition and Markets Authority (CMA) launched a detailed investigation in December, saying the deal could damage competition by discouraging Amazon from re-entering the online restaurant food market and further developing its presence within the online convenience grocery delivery market.

The CMA provisionally cleared the deal in April [...] That provisional clearance was criticised in submissions by companies including Just Eat Takeaway and Dominos Pizza (DOM.L).

Amazon has been given approval to buy a minority stake in U.K. food delivery start-up Deliveroo, ending a lengthy battle by the firms to convince regulators the deal would not harm competition.

In May 2019, Deliveroo announced it had raised a $575 million funding round led by Amazon. Just two months later, the U.K.’s Competition and Markets Authority put the brakes on the deal. Then, later in the year, the CMA launched a formal probe to examine potential anti-competitive implications.
On Tuesday, the competition watchdog issued its final decision on the investment confirming that Amazon’s minority investment — which would see it take a 16% stake in Deliveroo — can go ahead.

A Deliveroo spokesperson said the firm was “delighted” with the CMA’s final verdict.

“This is fantastic news for U.K. customers and restaurants, and for the British economy. British born Deliveroo will use the investment to increase choice and value for customers, support for restaurants and will be able to offer more riders the flexible work they value as the company expands.”
