I have this problem too, but i don't have Nod32 or an ati card. my hardware is as follows:

    Asus A7n8x Deluxe
    AMD Athlon 2000
    512GB of Crucial Ram
    plenty of HD space
    Geforce4 4200 ti-8x
    Onboard NVIDIA sound
    Onboard NVIDIA network controller

This problem happens EVERY time i play cs.. usually happens about 10-15 minutes into play. Please help, it is crazy annoying.

If you look at the links to the XP Drivers on ATI's homepage (http://www.ati.com/), there are two different sets: one being bigger in file size than the other. The CCC drivers also require the .NET Framework to be installed. Based on what you have said, I would guess that you have the regular ATI Control Panels driver version installed.

Just to make sure: do you have a folder called ATI Catalyst Control Center (or something like that) in your Start>All Programs?

I'm not a fan of the CCC (it consumes way too much memory for my liking), so I always use the ATI Controls Panels (as ATI like to call them now) version

Very little point asking here. Try the Steam forums instead:

  4. Getting back to Plex... I see... I do NOT have the catalyst control center. I have the control panel drivers and configure it there.

Damonk - Download Process explorer... and try closing out every possible item you can (at one point I only had Microsoft processes still running). Enalbe one program a day till you find out what's causing it.

If you don't have a router with a firewall don't disable any software firewall you may have on your PC. And if you disable anti-virus... do it for quick testing.

Steam doesn't want posts about various memory isssues (which sucks) because it went wild... like 19000 hits on Google. The possible resolutions on the issue are so broad it's crazy. I submitted my resolution as a question to support. Hope they post the info.
