Qualcomm announced today that it will acquire high-performance chip company, NUVIA Inc., for approximately $1.4 billion. NUVIA was founded by former Apple chip engineers responsible for its A series of chips for the iPhones and iPads.

NUVIA will be incorporated into Qualcomm's subsidiary, Qualcomm Technologies, to help build processors for future smartphones, laptops, and digital cockpits. The acquisition is also expected to benefit the chip giant's "Advanced Driver Assistance Systems, extended reality, and infrastructure networking solutions".

As part of the deal, NUVIA co-founders Gerard Williams III, Manu Gulati, and John Bruno will join Qualcomm along with their employees. Williams, the CEO of NUVIA, was formerly a senior director and chief CPU architect at Apple for nearly a decade. Similarly, Gulati and Bruno previously played a key role in Apple's chipset architecture.

Qualcomm Incorporated (NASDAQ: QCOM) today announced that its subsidiary, Qualcomm Technologies, Inc., has entered into a definitive agreement to acquire NUVIA for approximately $1.4 billion before working capital and other adjustments. The transaction is subject to customary closing conditions, including regulatory approval under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended.

Arm sues Qualcomm, aiming to unwind Qualcomm's $1.4 bln Nuvia purchase

Chip technology firm Arm Ltd, which is owned by Softbank Group Corp (9984.T), on Wednesday said it had sued Qualcomm Inc (QCOM.O) and Qualcomm's recently acquired chip design firm Nuvia Inc for breach of license agreements and trademark infringement.

Arm is seeking an injunction that would require Qualcomm to destroy designs developed under Nuvia’s license agreements with Arm. Armalleged its approval was needed before these could be transferred to Qualcomm.

Qualcomm, which acquired Nuvia for $1.4 billion last year, said Arm has no right to interfere with Qualcomm’s or NUVIA's innovations.

"Arm’s complaint ignores the fact that Qualcomm has broad, well-established license rights covering its custom-designed CPU’s, and we are confident those rights will be affirmed,” saidAnn Chaplin, General Counsel of Qualcomm in a statement.

The lawsuit represents a major break between Qualcomm and Arm, one of Qualcomm's most important technology partners. Qualcomm has relied on Arm since it stopped designing its own custom computing cores. But in recent years, the companies have been at odds.

Very weird, I mean Nuvia developed its own chip right, so why is ARM complaining? I believe ARM is scared that Qualcomm's upcoming CPU will become a huge success, which of course would also be bad news for AMD and Intel.

This sounds quite interesting, in the next few years we will likely also be able to choose ARM based CPU's, in laptops and perhaps also desktops, I wonder how Windows will run on it. And AMD and Intel might be in trouble.

Arm SoCs to Grab 30% of PC Market by 2026: Analyst

Apple's rapid transition to Arm-based system-on-chips has shown the industry how swift such changeover is possible if architected correctly. Analysts from Canalys believe that Arm's architecture advances so fast that Arm-powered SoCs will grab a sizeable share of the PC market and half of the cloud server market in just four years. But not everyone in the industry is so optimistic.

"By 2026, not 2050 but 2026, four years from now, half of the cloud processors will be ARM-based, 30% of PCs will be ARM-based," said Steve Brazier, president, and CEO of market research firm Canalys, at an event, reports DigiTimes(opens in new tab).
