SoftBank Group Corp's chip company Arm Holdings Ltd has gathered takeover interest from Nvidia Corp, Bloomberg News reported bloom.bg/30R4Kh5 on Wednesday, citing people familiar with the matter.
Nvidia and SoftBank did not immediately respond to requests for comment, while Arm declined to comment on the report.

SoftBank, which acquired Arm for $32 billion in 2016, is exploring options including a full or partial sale or a public offering of the British chip designer, the Wall Street Journal reported last week.

Nvidia made an approach in recent weeks about a potential deal for Cambridge, England-based Arm, according to the people. Other potential bidders could also emerge, the people said, asking not to be identified because the information is private.

A deal for Arm could become the biggest-ever acquisition in the chip industry, according to data compiled by Bloomberg. Arm is owned by SoftBank and its $100 billion Vision Fund. As opposed to last week's report which claimed that multiple companies were interested in acquiring the British design house, now it's revealed that NVIDIA is the only party that is currently interested to go the full mile with the Arm acquisition.

Additionally, even as both NVIDIA and Softbank are eager for a speedy deal, the negotiations are far from being concrete as they carry with them the potential to fall apart at this point believe Bloomberg's sources.
Softbank has been in muddy waters as well as it has been actively dealing with scandalous startups in its portfolio.

Supplier of some (more?) intellectual property. iPhone chips are manufactured by TSMC or Samsung fabs and microarchitecture is in-house design.

ARMv8 instruction set compatible chips are at the heart of iPhones and most Android smartphones. However ARM does not manufacture chips. ARM just licenses it's instruction sets, patents and microarchitectures. Apple designed its own microarchitecture implementing ARMv8 instruction set, so they just are a licensee of instruction set and some patents.

He told me that a sale of ARM to Nvidia would be a disaster, but thought it very unlikely to happen.
This past weekend he got back in touch to say the reports now looked very credible and his concern had deepened.

He explained that ARM's business model - in which all the big chip-makers license its technologies - made Nvidia an unsuitable owner.

"If it becomes part of Nvidia, most of the licensees are competitors of Nvidia, and will of course then look for an alternative to ARM."

“We would like to closely study the best option,” said Son during a SoftBank earnings briefing for its fiscal first quarter.

“In my opinion, they put too much money into it, spent money on things that clearly – in my opinion – weren’t going make money in the short term, and now, suddenly, they’re saying, ‘Oh, dear me, this company isn’t performing very well’,” says Brown.

Arm doesn’t make chips itself. It is the steward of the ARM processor architecture, and it creates designs that other companies license and use in their own chips for just about everything electronic.

If the deal goes through, these big rivals would become Nvidia’s customers. It would make sense for Nvidia to treat Arm as an independent subsidiary and continue its open customer relationships with rivals in the processor business. Arm still has rivals such as the royalty-free RISC-V architecture, which is enjoying increasing support from companies that were tiring of Arm’s licensing fees.

In my last interview with Nvidia CEO Jensen Huang, I asked him about buying Arm. He replied, “That’s just a rumor!”

While you may think NVIDIA would be quick to keep Arm’s technology to itself, the companies have confirmed that Arm will still maintain its open licensing model and neutrality with existing customers.
Naturally, this opens the door to Arm designs implementing NVIDIA’s technology as well, especially its GPUs. That gives NVIDIA an advantage that its graphics competitor AMD doesn’t have, and it could make for some truly wild future chip designs.

Put simply, almost every single smartphone currently being used or being sold in the world uses an Arm-based CPU: Apple, Qualcomm, Samsung, Huawei, and MediaTek among others all license the CPU architectures -- and in some cases GPU, AI co-processors and other components -- that Arm’s engineers and designers create. Smartphone makers, in turn, use those designs to create chips that are then integrated into the devices we use.

Nvidia says that "as part of NVIDIA, ARM will continue to operate its open-licensing model while maintaining the global customer neutrality that has been foundational to its success." On a conference call following the deal, ARM CEO Simon Segars also reiterated, "We will maintain our neutral business model and will keep a level of independence."

The two companies don't seem like they will be completely separate, though, with Nvidia adding, "ARM partners will also benefit from both companies' offerings, including NVIDIA's numerous innovations." A report from Reuters elaborates on this, saying, "Nvidia will expand the model by licensing some of Nvidia's designs—including its graphical processing unit, or GPU, technology—through Arm's network of silicon partners."

Potential “backlash”
If Nvidia does end up ruining ARM, there aren't a lot of alternative options currently out there. The great hope would be in the RISC-V instruction set, an open source ARM alternative that doesn't require any licensing.

Losing control

But Moore points out that Nvidia’s acquisition of Arm doesn’t just present economic challenges; he believes there are also security concerns surrounding the deal.

“Companies will always be acquired, but the loss of control goes far deeper than just financial reasons. Security threats that we don’t even know are possibly more worrying when ownership is handed over,” he explains.

OK, so seems that both the UK and China might actually block the ARM takeover by Nvidia. I'm guessing that you should be very careful with Nvidia's stock on Wall Street, it might be corrected.

If Nvidia Corp NVDA.O buys Arm Ltd from SoftBank Group Corp 9984.T, Arm will keep "firewalls" in place to ensure the data center chip company does not access confidential information from Arm's customers or get early access to Arm's products, a top Arm executive told Reuters on Tuesday.

The $40 billion deal announced last month would reshape the global semiconductor sector because Arm has long acted as a neutral player, supplying intellectual property to Apple Inc AAPL.O, Qualcomm Inc QCOM.O and many others that goes into chips for most of the world's smart phones and many other kinds of chips.

But because chips take years to go from an idea to silicon, Arm’s customers often disclose information about future plans during licensing discussions with Arm. Arm customers also share sales forecasts and figures to calculate royalty payments.

“We are going to keep the firewalls up between the two companies relative to confidentiality, and we’re not going to give any early access to Nvidia,” Rene Haas, president of Arm’s IP Products Group, told Reuters in an interview.
