Some say to format drive and install. Some say to just upgrade. What do you say and why?

hello pretender

It is not wise to upgrade from windows me to xp as they are very different o/s.

If u try to place xp over me u will almost certainly have problems down the road.
It is better to do a format and then a clean install of xp.

Don't forget to back up your files.

Hope this helps
