are there any problems between nod32 updates and Microsoft's Internet Connection Firewall (comes with WinXP Pro)?

I have not heard of any problems. There should not be any as NOD32 only requires outbound for live updates (XP's ICF only blocks unsolicited inbound traffic).

The only comment I have for this is that there have been problems using it with the old ftp connections where you would send a packet outbound to port 21, and expect one back on 20. Since ICS is part of ICF the program alg.exe which is the Application Layer Gateway will proxy all ftp communications as passive so some ftp connections will never work even if you allow port 20 inbound. At least that is what I found when I played with it.

Furthermore to the point; NOD32 or at least the v2 that I’m sure of uses http for updates, so there shouldn’t be any issues receiving NOD32 updates using XP’s Built-In Firewall…

Just to confirm what others have said.

I've been using Nod32 2.0 with ICF since July. Never a hint of a problem.
